AUTOMOTIVE REGULATIONS INFORMATION WEB SERVICE


1.	Purpose of this Agreement
	The purpose of this Agreement is to specify the terms and conditions upon which the Japan Automobile Standards Internationalization Center (hereinafter referred to as “JASIC”) provides the “Automotive Regulations Information Web Service” (hereinafter referred to as “Service”) to a subscriber, who agree to this Agreement and purchases and uses such service (hereinafter referred to as “Subscriber”).

2.	Term of Agreement
	1)	The term of this Agreement shall be one year from the month following the month in which the Subscriber subscribed to the Service by sending the Subscription Form to JASIC.
	2)	This Agreement will be automatically extended every year unless either party gives the other party its notice of non-renewal.
	3)	This Agreement will be terminated by a notice of either party given at least 30 days prior to the expiration of this Agreement. The license fee will not be refundable when this Agreement is terminated for any reason before the expiration of this Agreement.

3.	License Fee (Total amount)
	1)	The license fee shall include the service fee, consumption tax, overseas transfer charge, etc., for the term of Agreement (one year).
	2)	The service fee shall be as specified on the JASIC website.
	3)	Consumption tax shall not be charged if the invoice addressee resides outside Japan.
	4)	If the Subscriber pays the license fee by bank transfer from abroad, an overseas transfer charge of 5% of the service fee shall be charged.
	5)	The license fee shall not include bank transfer fees, which shall be born by the Subscriber.

4.	Number of Contractual Terminals
	1)	The contractual number of terminals shall be the number of terminals specified in the Subscription Form.
	2)	After the update, the Subscriber may simultaneously access the Service from up to the contractual number of terminals.

5.	Service Provided
	1)	The Service shall be provided in the form of web pages on our Internet website reserved for the subscribers, which the Subscriber can access and browse using a browser.
	2)	Regardless of the number of contractual terminals, the Subscriber shall use a single set of ID and password provided by JASIC to access the Service; provided, however, that, if the Subscriber is under a multiple-set license, the Subscriber shall use a different set of ID and password for each set of license.
	3)	The content of the Service provided shall correspond to the set(s) of license specified in the Subscription Form.
	4)	Regarding the regulations included in the license set specified in the Subscription Form, JASIC shall provide the latest updates in English and Japanese basically within one or two months after the obtention of the original texts; provided, however, that this period may be extended depending on the amount of the original texts.

6.	Restriction of Use
	The Subscriber shall not resell, assign, sublet, or transfer any data provided by the Service to any third party, (mechanically or electronically) duplicate such data for such third party, or have such third party otherwise use such data.

7.	Copyright
	JASIC shall hold the copyright of all of the content (text, figures, tables, etc.) provided by the Service, which is protected under the Japanese Copyright Law and international treaties.

8.	Disclaimer
	JASIC shall not assume anyresponsibility for any problem arising from the use of information provided by the Service.

9.	Mutual Discussion
	1)	This Agreement shall be construed in accordance with the laws of Japan.
	2)	Any dispute concerning the interpretation of any matter not stipulated in this Agreement or of any provision of this Agreement between the parties hereto shall be solved through mutual discussion between the parties in good faith and, in case such solution cannot be achieved, shall be discussed and settled at the Tokyo District Court.
